By accessing or using SQL Insights ("Service," "Platform," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Description of Service
SQL Insights is a cloud-based SaaS platform that enables users to:
- Connect to external databases (PostgreSQL, MySQL, MongoDB, and other supported databases)
- Generate SQL queries using natural language prompts
- Execute queries against connected databases
- Visualize and analyze query results
- Collaborate with team members on database insights
- Share results and visualizations publicly or privately
- Access functionality through our web interface and API
3. User Accounts and Registration
3.1 Account Creation
- You must provide accurate, complete, and current information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You must immediately notify us of any unauthorized use of your account
- You may not create multiple accounts to circumvent usage limitations
3.2 Account Security
- You are solely responsible for all activities that occur under your account
- We implement industry-standard security measures but cannot guarantee absolute security
- You must use strong passwords and enable two-factor authentication when available
3.3 Account Termination
- You may terminate your account at any time through your account settings
- We may suspend or terminate accounts that violate these Terms
- Upon termination, your access to the Service will cease, and your data may be deleted
4. Subscription Plans and Billing
4.1 Subscription Plans
- The Service is offered under various subscription plans with different features and usage limits
- Plan details, including pricing and limitations, are available on our pricing page
- We reserve the right to modify subscription plans and pricing with 30 days' notice
4.2 Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- You authorize us to charge your selected payment method for all applicable fees
- Failed payments may result in service suspension or termination
4.3 Usage Limits
- Each subscription plan includes specific usage limits (queries, data sources, team members, etc.)
- Exceeding usage limits may result in service restrictions or additional charges
- Usage is measured through our internal analytics and billing systems
4.4 Free Trial and Free Plan
- Free trials or free plans may be subject to additional restrictions
- We reserve the right to modify or discontinue free offerings at any time
- Free plans may include usage limitations and reduced functionality
5. Database Connections and Data Handling
5.1 Database Connectivity
- You are responsible for providing accurate database connection information
- You must have proper authorization to connect to and query external databases
- We support various database types as specified in our documentation
- Connection credentials are encrypted and stored securely using AES-256 encryption
5.2 Data Access and Security
- You grant us necessary permissions to connect to your databases and execute queries on your behalf
- We only access data necessary to provide the Service functionality
- All database connections use SSL/TLS encryption
- We implement SQL injection prevention and query validation measures
5.3 Query Results Storage
- Query results are stored in tenant-specific databases for performance and functionality
- Results may be cached temporarily to improve user experience
- You retain ownership of all data accessed through your database connections
5.4 Schema Analysis
- We analyze your database schema to provide relevant query suggestions
- Schema information is cached to improve service performance
- No actual data content is stored during schema analysis, only metadata
6. User Content and Intellectual Property
6.1 Your Content
- You retain ownership of all data in your connected databases
- You grant us a limited license to process, store, and display your content as necessary to provide the Service
- You represent that you have all necessary rights to the content you access through the Service
6.2 Query and Visualization Sharing
- You may choose to share queries and visualizations publicly or with team members
- Shared content may be accessible to others as per your sharing settings
- You are responsible for ensuring shared content complies with applicable laws and these Terms
6.3 Our Intellectual Property
- The Service, including its software, features, and documentation, is our proprietary property
- You may not copy, modify, distribute, or reverse engineer any part of the Service
- Our trademarks and branding remain our exclusive property
7. Team Collaboration and Access Control
7.1 Team Management
- Team owners and administrators can invite members and assign roles
- Different roles have varying levels of access and permissions
- You are responsible for managing team member access appropriately
7.2 Role-Based Permissions
- Owner: Full administrative control and billing management
- Admin: Team and database connection management
- Member: Query creation and execution privileges
- Viewer: Read-only access to queries and results
7.3 Team Data Responsibility
- Team owners are responsible for all team activities and data access
- Removing team members does not automatically revoke access to previously shared content
8. Prohibited Uses
You may not use the Service to:
- Access databases without proper authorization
- Execute queries that could harm database performance or integrity
- Store, transmit, or process illegal, harmful, or malicious content
- Violate any applicable laws, regulations, or third-party rights
- Attempt to bypass security measures or usage limitations
- Reverse engineer, decompile, or extract source code from the Service
- Use the Service for competitive intelligence or to build competing products
- Share access credentials or circumvent authentication measures
- Execute queries designed to extract excessive amounts of data maliciously
9. API Usage and Rate Limiting
9.1 API Access
- API access may be subject to additional terms and usage limits
- You must authenticate properly and follow our API documentation
- API keys must be kept confidential and used only for authorized purposes
9.2 Rate Limiting
- API requests are subject to rate limiting to ensure service stability
- Excessive requests may result in temporary or permanent API access restrictions
- Commercial API usage may require a separate agreement
10. Privacy and Data Protection
10.1 Privacy Policy
- Our collection and use of personal information is governed by our Privacy Policy
- By using the Service, you consent to our data practices as described in our Privacy Policy
10.2 Data Processing
- We process data solely to provide the Service functionality
- We implement appropriate technical and organizational measures to protect your data
- We do not access or use your database content except as necessary to provide the Service
10.3 Data Retention
- Query results and metadata may be retained according to your subscription plan
- Account data is retained as long as your account remains active
- You may request data deletion in accordance with applicable law
11. Service Availability and Support
11.1 Service Level
- We strive to provide reliable service but do not guarantee 100% uptime
- Scheduled maintenance will be announced in advance when possible
- We provide support according to your subscription plan level
11.2 Service Modifications
- We may modify, update, or discontinue features with reasonable notice
- Critical security updates may be implemented without prior notice
- We will attempt to maintain backward compatibility when possible
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
- SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU
13. Indemnification
You agree to indemnify, defend, and hold harmless SQL Insights and its affiliates from any claims, damages, losses, or expenses arising from:
- Your use of the Service in violation of these Terms
- Your violation of any applicable laws or third-party rights
- Unauthorized access to databases through your account
- Content you submit, post, or transmit through the Service
14. Termination
14.1 Termination by You
- You may terminate your account at any time through your account settings
- Paid subscriptions will remain active until the end of the current billing period
- No refunds will be provided for unused subscription time
14.2 Termination by Us
- We may suspend or terminate your account for violation of these Terms
- We may terminate the Service with 30 days' notice
- We will provide reasonable opportunity to export your data before termination
14.3 Effect of Termination
- Upon termination, your access to the Service will cease immediately
- We may delete your account data after a reasonable retention period
- Provisions that should survive termination will remain in effect
15. Dispute Resolution and Governing Law
15.1 Governing Law
